4P provide e-governance consulting to governments, districts, cities and globally public agency to prepare and implement their digital transformation program.(aka e-governance)	Que 4P International SA conseille et fournit des solutions aux gouvernements, région, ville, mairie et globalement à toutes agences publiques et administratives afin de définir et implémenter leur programmes de transformation digital (cf. e-Gouvernance)
Whereas, the Ambassador would like to promote 4P’ services and solutions by facilitating contacts in its network and the conclusion of contracts with potential clients in need of such services.	Que l'Ambassadeur souhaite promouvoir les services et solutions de 4P; en tant qu’apporteur d’affaires en faveur de 4P qui bénéficiera donc de l’intermédiation de l'Ambassadeur agissant à titre d’apporteur d’affaires pour identifier de nouveaux projets et conclure avec de nouveaux clients.

Now therefore, in consideration of the mutual covenants and promises contained herein, it is agreed as follows:

Article 1 Appointment of the Ambassador

4P appoint the Ambassador as a business facilitator (“business Introducer”) and as his non-exclusive agent to find new potential project and to facilitate the conclusion of a contract with potential client and upon the terms and conditions agreeable to and between 4P and the client.

4P and the Ambassador accept the appointment and Ambassador shall use its best efforts to procure a ready, willing and able to pay client to 4P.

4P nomme l'Ambassadeur en tant qu’apporteur d’affaire et lui confie un mandat d’intermédiaire non-exclusif afin de rechercher des projets et de favoriser la conclusion de contrat entre le client et 4P à des conditions contractuelles qui devront être acceptées par cette dernière.

4P et l'Ambassadeur acceptent ce mandat et l'Ambassadeur déploiera ses meilleurs efforts pour présenter à 4P des clients solvables prêt à conclure une relation contractuelle.

4P and the Ambassador accept the appointment and Ambassador shall use its best efforts to procure a ready, willing and able to pay client to 4P. Conclusion of a contract with potential client and upon the terms and conditions agreeable to and between 4P and the client.

4P et l'Ambassadeur acceptent ce mandat et l'Ambassadeur déploiera ses meilleurs efforts pour présenter à 4P des clients solvables prêt à conclure une relation contractuelle.ndat d’intermédiaire non-exclusif afin de rechercher des projets et de favoriser la conclusion de contrat entre le client et 4P à des conditions contractuelles qui devront être acceptées par cette dernière.

Article 2 Fees and expenses

Article 2 Provision et frais

1- If 4P has concluded a contract through the intervention of the Ambassador(the business Introducer), 4P shall pay to the Ambassadora fee corresponding to a percentage (%) of the price invoiced and cashed in relation with this contract if the following cumulative conditions are met:

1- Si 4P finalise un contrat avec un client grâce à l’intermédiation de l'Ambassadeur (l’apporteur d’affaires), 4P devra verser à l'Ambassadeur une provision correspondant à un pourcentage du prix facturé au client et encaissé dans le cadre de ce contrat si les conditions cumulatives suivantes sont remplies :

(a) The contract has been signed through the intervention of the Ambassador acting as a business introducer;	(a) le contrat a été conclu entre le client et 4P suite à l’intermédiation de l'Ambassadeur agissant à titre d’apporteur d’affaires ;
(b) the Ambassador, acting as a business facilitator, organized the first meeting between the potential customer and 4P, specifying that the meeting must be organized in the presence of decision makers and specifiers clearly identified by the Ambassador and those to speed up the sales cycle,	(b) l'Ambassadeur, agissant à titre d’apporteur d’affaires, a organisé le premier rendez-vous entre le potentiel client et 4P, précisant que le rendez-vous devra être organisé en présence des décideurs et prescripteurs bien identifiés par l'Ambassadeur et ceux en vue d’accélérer le cycle de vente,
(c) the Ambassador, acting as a business introducer, follows up the client throughout the sales cycle after the first meeting, in order to finalize the final contract. He notably signs a letter of intent to the potential customer, and manages the negotiation of the commercial proposal transmitted by 4P to the potential customer until the last signing meeting by 4P.	(c) l'Ambassadeur, agissant à titre d’apporteur d’affaire, suit et relance le client tout le long du cycle de vente après le premier rendez-vous, afin de finaliser le contrat final. Il fait notamment signer une lettre d’intention au potentiel client, et gère la négociation de la proposition commerciale transmise par 4P au potentiel client jusqu’au dernier rendez-vous de signature par 4P.
(d) the Ambassador must provide written proof that his intervention resulted in the first appointment being fixed and / or the conclusion of the contract;	(d) l'Ambassadeur devra apporter une preuve écrite prouvant que son intervention a eu pour conséquence de permettre la fixation du premier rendez-vous et/ou la conclusion du contrat ;
(e) the customer has effectively paid the total amount invoiced. If the total amount has not been paid in full by the customer, the payment of the provision, from 4P to the Ambassador, will be made in proportion to the amount actually paid. 2- When the conditions referred to in article 1, letters a, b, d, e above are met, 4P will pay to the Ambassador (the business introducer) the amount corresponding to 7,5% (seven point five percent) of the amount received within 60 (sixty) days of receipt of the invoiced amount from the customer. This provision will be paid into the bank account indicated to it by the Ambassador.	2- Lorsque les conditions visées à l’article 1, lettre a, b, d, e ci-dessus sont remplies, 4P versera à l'Ambassadeur (l’apporteur d’affaires) le montant correspondant à 7,5% (sept virgule cinq pour cents) du montant encaissé. dans les 60 (soixante jours) jours suivant l’encaissement du montant facturé du client. Cette provision sera versée sur le compte bancaire que lui aura indiqué l'Ambassadeur.
3- When the conditions referred to in article 1, letter a, c, d, e above are met, 4P will pay to the Ambassador (the business introducer) the amount corresponding to 15% (fifteen percent) of the amount collected within 60 (sixty) days of receipt of the invoice amount from the customer. This provision will be paid into the bank account indicated to it by the Ambassador.	3- Lorsque les conditions visées à l’article 1, lettre a, c, d, e ci-dessus sont remplies, 4P versera à l'Ambassadeur (l’apporteur d’affaires) le montant correspondant à 15% (quinze pour cents) du montant encaissé dans les 60 (soixante jours) jours suivant l’encaissement du montant facturé du client. Cette provision sera versée sur le compte bancaire que lui aura indiqué l'Ambassadeur.
4- Unless otherwise specified through a separated agreement, the Party acting as a business introducer shall have no claim against 4P for reimbursement of expenses incurred in the performance of this agreement.	4- Sauf en cas d’accord séparé prévoyant le contraire, l'Ambassadeur agissant à titre d’apporteur d’affaires n’aura pas droit au remboursement de ses frais ou débours occasionnés par l’exécution du présent contrat.

Article 3 Obligations of the Ambassador as referred in the Ambassador Guide

The Ambassador acting as a business introducer will obey the lawful instructions of 4P; exercise reasonable care and skill in the performance of this Agreement; use best efforts to seek out and advise 4P, in a timely manner, of any prospective client and generally promote 4P’s interests.	L'Ambassadeur agissant à titre d’apporteur d’affaires se conformera aux instructions légales de 4P, exécutera le présent contrat avec un niveau de compétence et de soin raisonnable, déploiera ses meilleurs efforts pour rechercher en temps utile des projets et clients potentiels pour 4P, en communiquer l’identité, et de façon générale défendra les intérêts de 4P.
To conclude a contract between 4P and a potential client, the Ambassador will make the potential client to sign a letter of intent and will arrange the first meeting between the potential client and 4P. The Ambassador will also provide the potential client with all relevant information about 4P.	Pour conclure un contrat entre 4P et le potentiel client, l'Ambassadeur fera d’abord signer une lettre d’intention au potentiel client et organisera la première rencontre entre le potentiel client et 4P. Elle fournira également au potentiel client toutes les informations utiles relatives à 4P. L'Ambassadeur devra, en outre, faire tout ce qui est en son possible pour accompagner 4P à finaliser le contrat avec le client après le premier rendez-vous.
In principle and unless otherwise explicitly stated and agreed in a separate agreement between the parties, 4P contract directly and exclusively with the client.	En principe et sauf indication contraire, validée par un contrat séparé, 4P conclut directement le contrat avec le client.
The Ambassador will assist 4P in negotiating favorable terms and conditions with potential client and in preparing and complying with a legally binding agreement between the potential client and 4P. The Ambassador must transmit all the client’ informations to 4P in order for 4P to follow-up and manage efficiently the sales and procurement cycle directly.	L'Ambassadeur assistera 4P dans la négociation des contrats avec des clients potentiels, et dans la préparation et la mise en œuvre de la documentation nécessaire à la conclusion et à l’exécution des potentiels contrats qui en découleront. L’Ambassadeur devra transmettre toutes les informations permettant de qualifier le projet et le client à 4P afin que 4P puisse contacter, suivre et gérer le cycle de vente et les procédures d’achat interne du client directement.

Article 4 Obligations and warranties of 4P

Article 4 Obligations et garanties de 4P bénéficiant des services de l’Ambassadeur

4P benefiting of the services of the Ambassador in the conclusion of a contract with potential client arising from the intervention of the Ambassador, agrees to provide the Ambassador with sufficient information with respect to its services and to make reasonable efforts to communicate and cooperate with the Ambassador in a timely manner.	4P bénéficiant des services de l'Ambassadeur lors de la conclusion d’un contrat conclu par l’intermédiaire de l'Ambassadeur, s’engage à fournir à l'Ambassadeur toutes les informations nécessaire au sujet de ses services, et à déployer des efforts raisonnables pour collaborer et communiquer avec l'Ambassadeur en temps utile.
During the term of this agreement, 4P will immediately advise the Ambassador of any event which may directly or indirectly affect its services.	4P informera immédiatement l'Ambassadeur pendant la durée de validité du présent Contrat de toute circonstance susceptible d’affecter directement ou indirectement ses services.

Article 5 Independent contractor

The Ambassador acting as a business introducer performs its services as an independent contractor.	L'Ambassadeur agissant à titre d’apporteur d’affaires exécute ses services comme contractant indépendant.
The Ambassador is not empowered to commit 4P in any manner whatsoever and shall not present itself to potential clients as having such power.	L'Ambassadeur n’a pas le pouvoir de conclure des contrats au nom de 4P, ou de l’engager de quelque façon que ce soit, et ne se présentera pas aux potentiels clients comme détenteur d’un tel pouvoir.
However under this agreement, the Ambassador has the duty to promote 4P according to 4P communication requirements shared and while protecting 4P image and reputation. (For example, the Ambassador should promote 4P’ solution and product to his/her digital social network like Linkedin and share 4P informations, articles and events.)	Cependant, en vertu de cet accord, l'ambassadeur a le devoir de promouvoir l4P selon les exigences de communication de 4P transmises et devra protéger l'image et la réputation de 4P. (par exemple, l'ambassadeur doit promouvoir la solution et les produits 4P sur son réseau social Linkedin et partager les informations, les articles et les événements 4P.)

Article 6 Confidentiality and non-solicitation clause

The Parties agree to keep confidential the content of this agreement as well as the content of the discussions or documents taking place between them, especially the ones related to 4P’ solutions and clients, except when it is necessary to communicate some information about 4P to potential clients in order to sign a contract between this potential client and 4P. In all other cases, they may only be disclosed to third parties with the prior consent of 4P, with the exception of the respective legal advice of 4P or pursuant to a mandatory legal obligation.This confidentiality requirement shall remain valid for the Parties, even after the termination of this agreement.	Les Parties conviennent de garder comme confidentiel le contenu de ce contrat ainsi que la teneur des discussions et des documents qu’elles échangeront, en particulier ceux relatifs à leurs affaires commerciales ou à leurs clients, hormis lorsqu’il est nécessaire de transmettre certaines informations de 4P à de potentiels clients en vue de la signature d’un contrat entre ces potentiels clients et 4P. Dans tous autres cas, ils ne pourront être divulgués à des tiers qu'avec le consentement préalable de 4P, à l'exception des conseils respectifs de 4P ou en application d'une obligation légale impérative. Cette obligation de confidentialité demeure valable pour chacune des Parties, même après la résiliation du présent contrat.
The Ambassador is prohibited, throughout the duration of this contract, from competing directly with 4P by offering its services, as an Ambassador, business provider, introducer, broker or intermediary, to any professional or company carrying out activities similar or concurrent to those of 4P.	Il est interdit à l'Ambassadeur, pendant toute la durée de ce contrat, de concurrencer directement 4P en proposant ses services, en tant qu'Ambassadeur, prestataire, Apporteur d’affaire, courtier ou intermédiair
This non-compete obligation will remain in force after the termination of this contract, for whatever reason and for a period of 1 (one) year.	Cette obligation de non-concurrence restera en vigueur après la résiliation du présent contrat, quelle qu'en soit la raison, pour une durée: de 1 (un) ane, à tout professionnel ou entreprise exerçant des activités similaires ou concurrentes à celles de 4P.

Article 7 Entry into force and period of validity

Article 7 Entrée en vigueur et durée

This Agreement shall commence on the day of signature of this agreement.	Ce contrat entrera en vigueur à la date de signature du présent contrat.
This agreement is concluded for an indefinite period and may be terminate at any time. However, the Parties doing so at an inopportune juncture must compensate the other for any resultant damage.	Ce contrat est conclu pour une durée indéterminée et pourra être résilié en tout temps. Toutefois, lorsque le contrat est résilié en temps inopportun, la Partie qui le résilie est tenue d’indemniser l’autre Partie du dommage qu’elle lui cause.
When this Agreement ends, the Ambassador will immediately cease efforts to seek out potential clients for 4P, will not be entitled to act as a business introducer and shall return all documents and other materials, if any, provided by 4P.	Dès que le présent contrat cessera d’être en vigueur, l'Ambassadeur devra immédiatement cesser de rechercher des clients potentiels pour 4P, ne pourra plus agir à titre d’apporteur d’affaires, devra restituer tout document ou matériel lui ayant été remis par 4P.

Article 8 Miscellaneous

This agreement constitutes the entire understanding between the parties.	Le présent contrat constitue l’intégralité de l’accord passé par les Parties.
The provisions of the “Code des Obligations Suisse” related to the brokerage agreement or secondarily to the mandate agreement shall apply to the present agreement.	Les dispositions du Code des Obligations suisse applicables au contrat de courtage, subsidiairement au contrat de mandat, s’applique au présent contrat.
3. If any portion of this Agreement is held invalid or unenforceable, any remaining portion shall continue in full force and effect. In case of discrepancy between the French and the English version of this agreement, the French version shall prevail.	Si une disposition ou une partie de ce Contrat est nulle ou inefficace, le reste du contrat restera en force et continuera à lier les parties. En cas de divergences entre la version française et la version anglaise du présent contrat, la version française fait foi.
4. There shall be no assignment of the rights or obligations under this Agreement by either Party.	Les droits et obligations découlant du présent contrat ne pourra pas être cédés à des tiers.
5. All notices or modification under this Agreement shall be notified or executed in writing or by email to the other Party.	Toute notification ou modification faite dans le cadre du présent contrat devront être communiquées ou réalisées par écrit ou par courrier électronique à l’autre Partie. obligations découlant du présent contrat ne pourra pas être cédés à des tiers.
This Agreement will be governed by the laws of Switzerland and the Parties submit to the jurisdiction of the Courts of Geneva for the resolution of any disputes that may arise out of this Agreement, an appeal before the Swiss Supreme Court being reserved.	Ce contrat est soumis au droit suisse et tout litige au sujet de présent contrat sera porté devant les tribunaux genevois, le recours au Tribunal fédéral étant réservé.
