Le début de la mission et la durée sont déterminés par le

devis signé par le client et précisé dans la facture à régler.

The present contract will start and last for the duration period

agreed and signed upon dedicated quotation and

invoice which will be submitted along with the present contract.

Art. 2 Objet du mandat

Art. 2 Purpose of the mandate

2.1 Le mandat a pour but de régler l’accès aux réseaux sociaux et la représentation publique, ce inclut les médias, institutions et autres parties prenantes, du client par InNations.

2.1 The purpose of the mandate is to regulate access and represent the client social media and public representation, including all media, institutions and other third parties involved in the representation, by InNations.

2.2 Le Mandataire s’engage en vertu du présent contrat à effectuer toute activité utile en vue de réaliser le/les service(s) suivant(s):

a. Publier au nom du client

b. Gérer le compte du client

c. Gérer les statistiques du client

d. Effacer des contenus qui pourraient s’avérer problématiques.

2.2 The Contractor undertakes under this Agreement to carry out all activities necessary to perform the following service(s):

a. Publish on behalf of the Client

b. Manage the client's account

c. Manage client statistics

d. Delete content that may be problematic.

Art. 3 Obligations du Mandataire	Art. 3 Obligations of the Contractor
3.1 Le Mandataire n’assume aucune obligation de résultat à l’égard du Mandant. Il exécutera toutefois ses obligations de manière experte, fidèle et diligente. Il agira toujours dans l’intérêt du Mandant et afin de mener au mieux le mandat qui lui a été confié.	3.1 The Contractor does not assume any obligation of result vis-à-vis the Principal. However, the Contractor will perform its obligations expertly, faithfully and diligently. He will always act in the interest of the Principal and in order to carry out the mandate entrusted to him to the best of his ability.
3.2 Il évitera toute situation qui pourrait le placer dans une situation dans laquelle ses propres intérêts pourraient entrer en conflit avec les intérêts du Mandant.	3.2 He will avoid any situation which could place him in a situation in which his own interests could conflict with the interests of the Principal.
3.3 Le Mandataire s’efforcera de suivre les instructions données par le Mandant dans la mesure du possible en tenant compte de l’intérêt du Mandant. Il s’engage également à répondre à toute demande formulée par le Mandant.	3.3 The Contractor will endeavour to follow the instructions given by the Principal as far as possible, taking into account the interests of the Principal. It also undertakes to respond to any requests made by the Customer.
3.4 En outre, il informera sans délai le Mandant de tout fait susceptible d’influer sur le présent contrat ou sur son exécution et s’engage à le conseiller en conséquence.	3.4 In addition, the Contractor will inform the Customer without delay of any facts that could affect this Agreement or its execution and undertakes to advise the Customer accordingly.
3.5 Le Mandataire s’engage à informer le Mandant après chaque phase d’exécution et à tenir compte des remarques éventuelles que le Mandant pourrait formuler.	3.5 The Contractor undertakes to inform the Customer after each execution phase and to take account of any comments that the Customer may make.

Art. 4 Exécution personnelle, auxiliaires et substitution	Art. 4 Personal performance, auxiliaries and substitution
4.1 Le Mandataire exécute, en principe, personnellement le présent mandat. Mandataire exécute, en principe, personnellement le présent mandat.	4.1 The Contractor shall, in principle, execute this mandate personally.

4.2 Il pourra se faire assister par des auxiliaires afin de mener à bien ce mandat.	4.2 He may be assisted by auxiliary persons in order to carry out this mandate.
4.3 Le Mandataire pourra exceptionnellement, dans le cadre de l’exécution du mandat, confier à un tiers indépendant (substitut ou sous-mandataire) des tâches que ce dernier exécutera de manière autonome et sous sa seule responsabilité à condition que le Mandant ait accepté par écrit et au préalable cette substitution.	4.3 In exceptional cases, the Contractor may, within the framework of the execution of the order, entrust an independent third party (substitute or sub-contractor) with tasks which the latter will execute independently and under his sole responsibility, provided that the Customer has accepted this substitution in writing in advance.

Art. 5 Obligations du Mandant et statut de membre	Art. 5 Obligations of the Principal and membership status
5.1 Le Mandant est tenu de prendre aussitôt que possible toutes les mesures nécessaires afin que le Mandataire puisse fournir ses services. Le Mandant doit prendre toutes ces mesures au lieu, au moment et d'après la manière qui ont été convenus. En fonction des circonstances, le client sera également tenu de fournir toutes les informations et tous les documents nécessaires au Mandataire.	5.1 The Principal is obliged to take all necessary measures as soon as possible to enable the Contractor to provide its services. The Customer must take all such measures at the place, time and in the manner agreed. Depending on the circumstances, the Customer shall also be obliged to provide all necessary information and documents to the Contractor.

Art. 6 Rémunération du Mandataire	Art. 6 Remuneration of the Contractor
6.1 Le Mandant s’engage à verser au Mandataire un montant forfaitaire de la somme telle que déterminée et acceptée dans le devis a titre de rémunération du présent mandat.	6.1 The Principal undertakes to pay the Contractor a lump sum of the total amount agreed on the quotation and as stated in the invoices sent as remuneration for this mandate.
6.2 Les Parties conviennent que 100% (cent pour cent) de la rémunération sera à payer dès la conclusion du présent contrat. Le Mandataire se réserve le droit de ne pas fournir ses services en cas de non-paiement ou en cas de retard de paiement du Mandant.	6.2 The Parties agree that 100% (one hundred percent) of the remuneration shall be payable upon conclusion of this Agreement. The Contractor reserves the right not tom provide its services in the event of non-payment or late payment by the Principal.

Art. 7 Remboursement des impenses	Art. 7 Reimbursement of Overcharges
7.1 Le Mandant versera au Mandataire une somme correspondant à 15% (quinze pour cent) du montant la rémunération facturée à titre de remboursement forfaitaire des avances, des frais et/ou de toutes impenses que le Mandataire aura déboursés dans le cadre de l’exécution régulière du Mandat.	7.1 The Principal shall pay the Contractor a sum corresponding to 15% (fifteen percent) of the amount of the remuneration invoiced as a lump sum reimbursement of the advances, costs and/or any expenses incurred by the Contractor in the proper execution of the Order.
7.2 Lorsque ce montant forfaitaire ne sera pas suffisant pour couvrir les dépenses encourues par le Mandataire dans le cadre de l’exécution du contrat, ce dernier se réserve le droit de demander un montant additionnel suite à une discussion et à l’accord du Mandant.	7.2 If this lump sum is not sufficient to cover the expenses incurred by the Contractor in the performance of the Agreement, the Contractor reserves the right to request an additional amount following discussion and agreement with the Principal.

Art. 8 Devoir de confidentialité et discrétion

Art. 8 Duty of confidentiality and discretion

Le Mandataire gardera comme strictement confidentielle et s’abstiendra de révéler à un tiers ou de les utiliser d’une quelconque façon, dans son propre intérêt ou dans l’intérêt d’un tiers, toutes les informations (notamment les informations commerciales, financières ou techniques relatives au Mandant) dont il aura eu connaissance à travers le présent mandat et qui ne sont pas généralement accessibles ou disponibles publiquement, sous réserve de l’acceptation préalable écrite du Mandant. Cette obligation perdurera suite à la résiliation de ce contrat.

Le Mandataire est pleinement conscient de l’obligation de discrétion que lui impose ce type de mandat.

The Principal will keep as strictly confidential and will refrain from revealing to a third party or using them in any way whatsoever, in its own interest or in the interest of a third party, all information (in particular commercial, financial or technical information relating to the Principal) of which it has become aware through this mandate and which is not generally accessible or publicly available, subject to the prior written acceptance of the Principal. This obligation will continue following the termination of this contract.

The Contractor is fully aware of the obligation of discretion imposed on it by this type
of mandate.

Art. 9 Propriété intellectuelle	Art. 9 Intellectual property
Tous droits de propriété intellectuelle relatifs aux services que le Mandataire aura accomplis dans le cadre du présent contrat appartiendront au Mandant.	All intellectual property rights relating to the services performed by the Contractor under this Agreement shall belong to the Principal.

Art. 10 Fin et résiliation du contrat	Art. 10 Termination and cancellation of the contract
10.1 Le présent contrat de mandat peut, dans tous les cas, être résilié, en tout temps et sans motif, en conformité avec les règles impératives du Code des obligations suisse (art. 404 al. 1 CO). Les Parties ne sont donc pas tenues de respecter un quelconque délai de résiliation ni d’observer un certain terme.	10.1 This Mandate Agreement may be terminated at any time and without cause in accordance with the mandatory rules of the Swiss Code of Obligations (Art. 404 para. 1 CO). Therefore, the Parties are not obliged to observe any termination period or term.
10.2 La résiliation prévue au chiffre 10.1 est possible même en temps inopportun. Toutefois, lorsque le contrat est résilié en temps inopportun, la partie qui le résilie est tenue d’indemniser l’autre partie si elle lui cause un dommage ou si des frais ont déjà été encourus.	10.2 Termination pursuant to Section 10.1 is possible even at an inopportune time. However, if the contract is terminated inopportunely, the party terminating the contract is obliged to compensate the other party if it causes damage to the other party or if costs have already been incurred.

11.1 Dispositions complémentaires

Les dispositions du titre XIII du Code des Obligation suisse sur le mandant s’appliquent à titre supplétif au présent contrat.

11.1 Additional provisions

The provisions of Title XIII of the Swiss Code of Obligations on the principal shall apply in a supplementary capacity to the present contract.

11.2 Clause salvatrice

Si l’une ou plusieurs dispositions ou si l’une des annexes de ce contrat devaient être déclarées nulles ou inefficaces, elles n’affecteront pas la validité des autres dispositions de ce contrat et continueront à lier les Parties. Ces dispositions nulles ou inefficaces seront alors remplacées par toute disposition valide correspondant le mieux au but économique voulu par les Parties. La même règle s’applique en cas d’éventuelle lacune contractuelle.

11.2 Salvation clause

Should one or more provisions or any of the annexes to this contract be declared null and void or ineffective, they shall not affect the validity of the other provisions of this contract and shall continue to bind the Parties. Such invalid or ineffective provisions will then be replaced by any valid provision that best serves the economic purpose intended by the Parties. The same rule applies in the event of a possible contractual gap.

11.3 Forme écrite

Toutes modifications ou tous compléments au présent contrat devront être
réalisés par écrit.

Any changes or additions to this agreement must be made in writing.

Art. 12 Droit applicable et for	Art. 12 Applicable law and place of jurisdiction
Ce contrat est soumis au droit suisse. Tout litige en lien avec le présent contrat sera soumis aux juridictions compétentes du lieu du siège du Mandataire.	This contract is subject to Swiss law. Any dispute in connection with this contract shall be subject to the competent courts of the place of the Contractor's registered office.

Ce contrat suit le code de contrat numérique strictement confidentiel qui reste disponible par la loi.

This contract follows the code of strictly confidential digital contract which remains available by law.
